We represent clients in a wide range of real estate finance transactions, including acquisitions, refinancings, construction loans, mezzanine lending, preferred-equity structures, and workouts involving distressed collateral. We negotiate loan documents with an emphasis on covenants, draw mechanics, collateral coverage, priority issues, guaranty exposure, and enforcement rights. When projects encounter financial or operational distress, we also advise on loan modifications, forbearance agreements, and lender-borrower negotiations, leveraging our litigation background to ensure that the client’s position remains protected.
Our practice also extends to development transactions, where we work closely with developers, investors, and joint-venture partners to structure and negotiate the agreements that drive a project’s economic and governance framework. This includes drafting and negotiating joint-venture and operating agreements, development agreements, cost-sharing arrangements, and construction-related contracts, with a particular focus on capital contributions, profit waterfalls, decision-making authority, indemnities, and milestone obligations. Because development projects often involve multiple stakeholders with competing interests, we ensure that the contractual structure is clear, enforceable, and aligned with the project’s financing and entitlement requirements.
